Terms and Conditions
1. LEGAL INFORMATION AND SCOPE OF APPLICATION
The present General Terms and Conditions of Sale exclusively govern the B2B (Business to Business) commercial relations between NOVALUX EUROPE SLU (hereinafter, "the Supplier"), with NIF B22443865 and registered tax office at Av. Sinforiano Madroñero 37, esc 2, pla 0, pta 1, Badajoz, 06011, Spain, and professional clients or businesses (hereinafter, "the Customer") that acquire perfumery and cosmetic products through the website.
By placing an order, the Customer expressly and unreservedly accepts these Terms and Conditions, waiving their own general terms and conditions of purchase. The Supplier does not sell to end consumers (B2C).
2. CUSTOMER REGISTRATION AND MINIMUM ORDER
Access to price viewing and purchases in the online store is not free. To operate, the Customer must complete the registration form providing their company's tax information.
Account approval: The Supplier will review each application and reserves the right to accept or reject the registration of any Customer unilaterally and without the need for justification.
Minimum order: A minimum purchase amount of 300 euros (excluding taxes and shipping costs) is established for each order. The system will not allow checkout for any lower amount.
3. PRICES AND TAXES
All prices displayed in the online store catalogue are stated in Euros (€) and exclude Value Added Tax (VAT) as well as any other applicable taxes or fees. Tax calculations will be performed automatically on the checkout page (checkout) according to the following fiscal rules:
Customers in Spain: 21% VAT will be added to the total taxable base.
Customers in the European Union (Intra-Community Transactions): If the Customer possesses a valid and verified intra-Community VAT number (VAT/VIES) at the time of purchase, the invoice will be issued exempt from VAT under the reverse charge mechanism. If a valid VAT number is not available, the corresponding Spanish VAT will be applied.
4. PAYMENT METHOD
The Customer must pay the total amount of the order (products, taxes, and shipping, if applicable) in advance, via bank transfer or secure payment gateway (Woo Payments/Stripe). The order will not proceed to the preparation and shipping stage until the full amount has been credited to the Supplier's bank account.
5. SHIPPING AND DELIVERY TIMES
The products will be sent to the address indicated by the Customer during the purchase process.
Logistics Operators: Shipments within Spain will be handled via Seur or GLS. For the remaining countries within the European Union, DHL will be used for standard shipments and Transwhite for palletised freight.
Shipping Costs (Orders under €500): The cost of transport is borne by the Customer. Due to the variable nature, weight, and volume of the products (fragrances and cosmetics), the exact shipping amount is not invoiced at the time of website checkout. The logistics cost will be calculated accurately once the order has been prepared, packed, and weighed in our warehouse. Once determined, the Supplier will send the Customer the updated invoice or order confirmation with the final total amount for payment to be processed.
Free Shipping: For orders where the total product amount is equal to or greater than 500 euros (taxable base), shipping will be completely free of charge for the Customer.
Delivery times: Depending on the warehouse of origin and destination, estimated timeframes range from 24 – 72 hours for express shipments, and can extend up to 7 working days for certain items or international regions.
Dispatch and Liability: No order (especially those pending shipping cost recalculation) will leave our facilities until full payment has been completely confirmed in the Supplier's bank account. The Supplier is not liable for delays caused by the logistics company or force majeure events. The risk of loss or damage to the goods transfers to the Customer at the time of delivery.
6. RECEIPT OF GOODS AND CLAIMS (BREAKAGES)
Given the fragile nature of the products, the Customer is under an inescapable obligation to verify the external condition of the goods at the very moment of delivery by the carrier.
Visible damage: If damaged, wet, or tampered boxes are detected, the Customer must mandatorily note this on the carrier's delivery note before signing.
Disclaimer: Once the goods have been delivered and the receipt has been signed without any notations on the carrier's delivery note, NOVALUX is not responsible for breakages, spills or missing products, except for hidden damage inside the packaging.
Mandatory condition for hidden damage (Video): In order to claim for any hidden damage or missing merchandise inside a box that appeared to be intact, It is an essential and mandatory requirement to record an uninterrupted video during the opening of the package (unboxing)The video must clearly show the closed box, the legible shipping label, the opening of the seals, and the removal of the affected products.
Claims submitted after the deadline will not be accepted. 24 hours from the time of delivery, nor those that only provide photographs once the box has already been opened and handled.
7. B2B RETURNS AND WARRANTY POLICY
Since it is a commercial sale between companies, the right of withdrawal is expressly excluded. No returns will be accepted for merchandise due to errors in sales forecasting by the Customer, changes of mind, or any other reason that does not derive from a factory defect of the product.
Product preservation: The Customer is responsible for storing fragrances and cosmetic products under appropriate conditions (away from direct sunlight, extreme humidity, or heat sources). The Supplier will not accept claims for alterations in the smell, color, or texture of the product resulting from negligent storage or improper exposure by the Customer.
8. FORCE MAJEURE
The Supplier will be exempt from fulfilling its obligations (including delivery deadlines) in the event of force majeure events, such as strikes, natural disasters, pandemics, disruptions in the global supply chain, unforeseen customs delays or any other circumstance beyond its reasonable control.
9. APPLICABLE LAW AND JURISDICTION
The present contract shall be governed by and construed in accordance with the laws of Spain. For the resolution of any controversy, discrepancy, or claim that might arise from the interpretation or execution of these Terms and Conditions, both parties expressly submit to the jurisdiction and competence of the Courts of the city of Badajoz (Spain), waiving any other jurisdiction that might correspond to them.
